Implied Term
An unspoken/unwritten clause within a contract that nonetheless has contractual effect. These often come about through the 'custom and practice' of what happens in reality, but can also be terms that are so essential to the contract and therefore so obvious, that they have never been expressly spelt out - e.g. a chauffeur having to have a valid driving licence. There are also general implied terms that a tribunal would consider should form part of every contract of employment, such as those of mutual trust and confidence, or good faith and fidelity.
